    This End-User License Agreement (“EULA”) is a legal agreement between you (“User” or “you”) and SparkDawn Media, LLC (“we,” “our,” or “us”) for the use of the SeniorApp software application (“App”). By installing, accessing, or using the App, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the App.
  2. License Grant
    License: We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for personal, non-commercial purposes on a device owned or controlled by you, subject to the terms of this EULA.

    You agree to indemnify, defend, and hold harmless SparkDawn Media, LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses, including reasonable attorney’s fees, arising out of your use of the App or your violation of this EULA.

    This EULA shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Newport News, Virginia, for any disputes arising out of or relating to this EULA or your use of the App.
  11. General Provisions
    Severability: If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
    Entire Agreement: This EULA constitutes the entire agreement between you and SparkDawn Media, LLC regarding the use of the App and supersedes any prior agreements or understandings.
    Waiver: The failure of either party to enforce any right or provision of this EULA will not be deemed a waiver of that right or provision.
